How It Works:
Dissolve your company online with ease by following these steps:
- Place your order.
- We will complete all the required paperwork to dissolve your company.
- You will receive an email from Companies House (within 3-4 working days for Standard Service or 24 hours for Express Service, excluding weekends and Bank Holidays).
- Upon receiving the email:
- Click the link to sign into (or register for) a Companies House account.
- Enter your Company Number and Authentication Code (provided in your account).
- Follow the prompt to ‘Sign the application’ by checking the declaration box and clicking the green ‘Sign the application’ button.
- Once completed, we will send the documents to you and any other directors for signatures.
- After receiving the signed documents back, we will file them with Companies House on your behalf.
- Companies House will notify you via email within 2 working days regarding the acceptance or rejection of your application.
A company is eligible to submit a dissolution request only if:
- It has not engaged in any trading activities in the last three months
- It has not changed its company name in the last three months
- It is not involved in any ongoing legal proceedings
- It has not transferred any property or assets for value
The term "Company Dissolution" is the official term used by Companies House for closing down a limited company, though it is sometimes referred to as "company closure", "striking off", or "winding up."
Typically, the process for Companies House to officially dissolve a UK limited company takes about 2 to 3 months.
Companies House will notify you directly once the dissolution application is received, and again when the company has been officially struck off. The entire process generally takes around 2 to 3 months, depending on their workload and whether any investigations are required before closing the company.
In rare cases, a company’s dissolution request might be rejected. If you’ve used our services, we will inform you if this occurs and explain the reason. Common reasons for rejection include duplicate submissions, a company name change within the last three months, or the company being involved in legal proceedings.
During this period, and immediately after Companies House receives the dissolution application, you will not need to submit any further filings, such as a Confirmation Statement or Annual Accounts. However, it’s important to note that HMRC is not automatically notified about the dissolution. We strongly recommend contacting your local tax office, as you may still need to file your final company tax return.
Even after a company is dissolved, it can be restored by the courts (within twenty years of dissolution) if there are sufficient grounds for doing so.
