What is a Confirmation Statement?
Previously known as the annual return, a confirmation statement is a yearly update required by Companies House. It provides them with any updates to key information about your company, such as changes to directors, secretaries, registered office addresses, shareholders, share capital, and individuals with significant control (PSCs).
You are required to submit this update every 12 months, with the first due a year after your company’s incorporation.

A Confirmation Statement provides an overview of essential details regarding a company, including information about its directors, company secretary (if one is appointed), registered office address, shareholders, share capital, and individuals with significant control (PSCs).
All companies are required to submit a Confirmation Statement to Companies House at least once every 12 months. The submission window opens 14 days after the incorporation anniversary or the "made-up date" of the last statement. You can file multiple Confirmation Statements within the same year if necessary.

Even if your company is dormant (not actively trading), it still has certain annual responsibilities to fulfill, similar to those of an active company. However, you won’t need to pay Corporation Tax or submit a Tax Return while dormant.
